Customer represents and warrants that it has obtained all required consents before sending commercial electronic messages to Constituents through the Services.

14.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to any conflict of law principles that would require the application of the laws of another jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

14.2 Informal Resolution

Before initiating any formal dispute process, the parties agree to attempt to resolve any dispute, claim, or controversy arising out of or related to this Agreement through good-faith negotiation. The party raising the dispute shall notify the other in writing, and both parties agree to designate senior representatives to meet and attempt to resolve the matter within 30 days of the notice.

14.3 Mediation

If informal negotiation does not resolve the dispute within 30 days, the parties agree to attempt resolution through mediation under the rules of the ADR Institute of Canada (ADRIC). The mediation shall be conducted in English in Toronto, Ontario. Costs of mediation shall be shared equally.

14.4 Binding Arbitration

If mediation fails or is not completed within 60 days of initiation, the dispute shall be resolved by binding arbitration in accordance with the Arbitration Act, 1991 (Ontario). The arbitration shall be conducted in Toronto, Ontario, in English, before a single arbitrator agreed upon by both parties. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.5 Emergency Injunctive Relief

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to prevent imminent irreparable harm, without first engaging the dispute resolution process above.

15.3 Amendments

CharityPack reserves the right to modify this Agreement at any time. For material changes, CharityPack will provide at least 30 days' advance written notice to Customer's primary contact email. Continued use of the Services after the effective date of any modifications constitutes acceptance of the updated Agreement. If Customer does not agree to material changes, Customer may terminate the Agreement before the effective date of the changes.

15.4 Severability

If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall remain in full force and effect.

15.5 Waiver

No failure or delay by either party to exercise any right under this Agreement shall constitute a waiver of that right. Any waiver must be in writing and signed by an authorized representative of the waiving party.

15.6 Assignment

Customer may not assign, transfer, or sublicense this Agreement or any rights under it without CharityPack's prior written consent. CharityPack may freely assign this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, with notice to Customer. Any attempted assignment in violation of this Section is void.

15.7 Force Majeure

Neither party will be liable for failure to perform any obligation under this Agreement to the extent that performance is delayed or prevented by circumstances beyond that party's reasonable control, including natural disasters, government actions, power failures, or internet infrastructure outages, provided the affected party gives prompt notice to the other party.
